Terms of Service

The rules for using NorthSyntax Labs websites, apps and games, including accounts, purchases and virtual items.

1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and NorthSyntax Labs Inc. ("NorthSyntax", "we", "us"). They govern your use of our website (northsyntax.com), our mobile and desktop applications, our games, and any related services that link to these Terms (together, the "Services"). By creating an account, downloading, installing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Software consulting, development and other professional services we provide to clients are governed by a separate written agreement with that client, which prevails over these Terms for that work.

2. Eligibility

You must be at least 13 years old (or the higher minimum age where you live) to use the Services. If you are under the age of majority in your province or country, a parent or legal guardian must review and agree to these Terms on your behalf and is responsible for your use. Some products may carry a higher age rating, which you must meet.

3. Accounts

Some Services require an account. You agree to give accurate information, keep your login details confidential, and tell us promptly at the contact address below if you suspect unauthorised use. You are responsible for activity under your account. We may suspend or close accounts that are inactive for an extended period, that violate these Terms, or that we reasonably believe are being used fraudulently. You can delete your account at any time from within the app or by contacting us.

4. Licence to use the Services

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use our apps and games on devices you own or control, for your own non-commercial entertainment or productivity. All rights not expressly granted are reserved. Apps distributed through an app store are also subject to that store's terms; where those terms and ours conflict about the store's role, the store's terms prevail.

5. Virtual items, purchases and subscriptions

• Virtual items (coins, gems, skins, boosts, unlocks and similar) are licensed, not sold. They have no real-world value, cannot be exchanged for money or transferred outside the Service, and may be changed, rebalanced or retired as part of ongoing development.
• Purchases are made through the platform you use (Apple, Google, Steam or others). Prices include applicable taxes unless stated otherwise and may change. Each purchase is final when delivered, except where the platform's refund policy or applicable consumer law gives you a refund right.
• Subscriptions renew automatically at the stated interval until cancelled through your platform account settings at least 24 hours before the renewal date. Free trials convert to paid subscriptions unless cancelled before the trial ends.
• If we discontinue a Service, we will give reasonable notice where practical. Unused virtual items expire with the Service.

6. Your content

Where a Service lets you create or share content (usernames, avatars, levels, messages, screenshots, mods), you keep ownership of it. You grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, adapt, display and distribute that content as needed to operate, promote and improve the Services, for as long as the content remains on the Service and a reasonable time after removal for backups and moderation. You are responsible for your content and confirm you have the rights to share it.

7. Acceptable use

You agree not to:

• cheat, exploit bugs, use bots, automation, emulators or modified clients to gain an unfair advantage, or interfere with other players' experience;
• reverse engineer, decompile, extract assets from, or create derivative works of the Services except where the law expressly allows it;
• sell, trade or transfer accounts or virtual items, or use the Services for commercial purposes without our written permission;
• upload content that is illegal, infringing, hateful, harassing, sexually explicit, or that impersonates any person;
• probe, scan or attack our systems, bypass security or rate limits, or scrape the Services;
• use the Services in violation of any applicable law, including export control and sanctions laws.

We may remove content, restrict features, or suspend or terminate accounts that breach this section, with or without notice depending on the severity.

8. Intellectual property

The Services, including software, code, artwork, characters, music, text, trademarks (including the NorthSyntax Labs name and bracket-and-star mark) and all related intellectual property, belong to us or our licensors and are protected by Canadian and international law. Feedback you send us may be used without obligation to you. If you believe content on the Services infringes your rights, contact us with details and we will review it promptly.

9. Third-party services

The Services may include third-party software, SDKs and links to third-party sites and services (platform sign-in, payment processing, advertising, analytics, social features). We do not control them and are not responsible for their content, practices or availability. Their own terms and privacy policies apply to your use of them.

10. Updates, availability and changes

We may update, modify or discontinue any part of the Services at any time, including to fix bugs, add or remove features, rebalance gameplay, or comply with platform requirements. Updates may be required to continue using a Service. We aim for high availability but the Services are provided as is and may be interrupted for maintenance, outages or reasons outside our control.

11. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or a platform, or if we discontinue a Service. On termination your licence ends, and you lose access to your account and any virtual items; sections that by their nature should survive (including 5, 6, 8, 12, 13, 14 and 15) will survive.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. Nothing in these Terms limits rights you have under mandatory consumer protection law, including the Ontario Consumer Protection Act, that cannot be waived.

13. Limitation of liability

To the fullest extent permitted by law, NorthSyntax and its directors, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from or related to the Services, even if advised of the possibility. Our total liability for all claims relating to the Services in any 12-month period is limited to the greater of (a) the amount you paid us for the Services in that period and (b) CAD $100. Some jurisdictions do not allow these limitations, so they may not apply to you.

14. Indemnity

You agree to defend, indemnify and hold harmless NorthSyntax from claims, losses and expenses (including reasonable legal fees) arising from your content, your breach of these Terms, or your violation of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. If you have a dispute with us, contact us first; most issues can be resolved informally. Otherwise, you and we agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, except that either party may seek injunctive relief in any competent court, and consumers may bring claims in the courts of their own place of residence where mandatory law provides. To the extent permitted by law, any claim must be brought individually and not as part of a class or representative action.

16. General

These Terms, together with the Privacy Policy and any product-specific terms we publish, are the entire agreement between you and us about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor. Notices to you may be given in-app, by email to your account address, or by posting on our website.

17. Changes and contact

We may revise these Terms from time to time. We will post the updated version here with a new "last updated" date and, for material changes, give notice in-app or by email before they take effect. Continued use after the effective date means you accept the revised Terms.
